You were served with an MCA summons. Here is the order of operations.

What to do in the first days after an MCA summons arrives, why the answer deadline controls everything, and how default judgments happen.

A stack of paper landed on your counter with a caption at the top, a case number, and a law firm's name you do not recognize. Somewhere in it is a number that is larger than what you thought you owed.

The instinct is to read all of it, get angry at the fraud allegations, and then put it in a drawer for a week. Do the opposite. There is one piece of information in that packet that outranks everything else, and you need it in the first hour.

Find the deadline before you read anything else

The summons tells you how long you have to appear or answer. That window is commonly 20 to 30 days in state court, and it varies by jurisdiction and by how you were served. Personal service inside the state often starts a shorter clock than service by mail or service on an out of state defendant. In federal court, Rule 12 of the Federal Rules of Civil Procedure generally gives 21 days after service.

Write the date on a calendar, not on a sticky note. Then count backward a week and put a second date there, because that is when your answer actually needs to be drafted.

Some New York filings arrive as a motion for summary judgment in lieu of a complaint under CPLR 3213, served with the summons instead of a traditional complaint. That procedure sets its own return date and can be far more compressed than a normal answer window. If your packet says "motion for summary judgment" on the front page, treat the timeline as urgent rather than merely serious.

What is actually in the envelope

Most MCA packets contain the same components:

  • The summons. The notice to appear, the deadline, and the court.
  • The complaint. Numbered allegations, usually breach of the funding agreement, breach of the personal guarantee, and often an account stated claim. Fraud counts appear in a meaningful share of filings.
  • Exhibits. The merchant agreement, the guarantee, and frequently an affidavit from a funder employee attesting to the balance.
  • Proof of service. Sometimes served separately and filed with the court.

Read the exhibits closely, particularly the affidavit. The balance claimed is a calculation, and calculations can be wrong. Funders routinely claim the full remaining payback amount plus default fees, stacking fees, and attorney fee provisions, without crediting every debit that actually cleared.

The one outcome you have to avoid

A default judgment is entered when nobody responds. The court does not weigh your side, because your side was never filed. What follows is a judgment for the full amount claimed, plus costs, and the creditor moves straight to enforcement: restraining notices to your bank, levies, judgment liens, and collection against your receivables.

Vacating a default is possible in most jurisdictions, but the standard is not friendly. In New York, for example, CPLR 5015 generally requires a reasonable excuse for the default and a potentially meritorious defense. "I was overwhelmed" is not usually enough on its own.

Everything else in this article is secondary to not letting that happen.

Check how you were served

Service is not a formality. It is a jurisdictional requirement, and defects in it are one of the more common grounds for challenging a case or vacating a default.

Note exactly what happened. Was the packet handed to you personally? Left with an employee at your shop? Delivered to your registered agent? Taped to a door and followed by a mailing? Mailed to an address you moved out of two years ago?

Each of those has rules attached. Service on a business entity generally must go to an officer, a managing agent, or the registered agent on file with the Secretary of State. Substituted service on an individual usually requires delivery to a person of suitable age at the right address, plus a follow up mailing. Getting it wrong can mean the court never acquired jurisdiction.

There is a trap here worth naming. In most jurisdictions, appearing in a case without preserving an objection to service or jurisdiction waives that objection. This is one of the strongest reasons not to file anything yourself before counsel reviews it. A well intentioned letter to the court can give away a defense that was worth more than the letter.

Photograph the envelope, keep the mailing, and write down the date, time, and location of delivery while you still remember them.

Days one through three: preserve and gather

Before you talk to anyone, collect the file. You will need it for counsel, for negotiation, and for reconciling the balance:

  • The signed funding agreement and every amendment or renewal
  • The personal guarantee, if one exists
  • Bank statements from the month before funding through today
  • A full ACH debit history showing every attempt, clearance, and return
  • Merchant processing statements if the advance uses a split
  • Every email and text with the funder, especially anything about reconciliation, revenue decline, or a payment arrangement
  • Documentation of any other advances outstanding

Do not delete anything, including messages that feel unhelpful. Preservation obligations attach once litigation is reasonably anticipated, and a deleted thread turns into a much bigger problem than an awkward one.

Days three through seven: get counsel reading the file

Your business entity almost certainly cannot represent itself. In most US courts, a corporation or LLC must appear through a licensed attorney. If you were also named individually as a guarantor, you technically can appear on your own behalf, but a commercial contract case against a funder with experienced counsel is not the place to learn civil procedure.

Bring counsel the whole file, not the highlights. The reconciliation emails you thought were pointless are often the most useful documents in the folder, because a funder's response to a documented revenue decline is central to how courts evaluate these agreements.

What an answer does, and what it does not do

An answer responds to each allegation, raises affirmative defenses, and sometimes asserts counterclaims. It stops the default clock. It does not end the case, and it does not pause the funder's other collection activity unless a court orders that separately.

Common defenses raised in these cases include improper service, lack of personal jurisdiction over an out of state guarantor, failure to honor a contractual reconciliation obligation, and recharacterization of the agreement as a loan subject to usury limits. Which of those fit depends entirely on your documents.

Counsel may also negotiate a stipulation extending the answer date. Opposing firms often grant one, particularly when settlement discussions are genuinely underway. Get it in writing and filed.

If the deadline already passed

Move faster, not slower. If no judgment has been entered yet, a late answer is sometimes accepted, especially if the funder consents. If a judgment has been entered, the path is a motion to vacate, and the strength of that motion depends on how quickly you act and what defense you can show.

Check your bank accounts the same day. Enforcement can begin quickly after judgment, and knowing whether a restraining notice has already landed changes what your first call should be about.

Where settlement fits

Defense and negotiation are not competing strategies. They run together.
